Jaranova Terms of Service

1. Eligibility and accounts

You must provide accurate information, keep credentials secure and use the services only for lawful business or delivery purposes. We may require identity, merchant, driver, vehicle or payment verification before enabling certain features.

2. Delivery services and independent providers

Jaranova Technology Inc., through Jaranova Delivery OS, provides merchants with access to delivery ordering, dispatch coordination, tracking and related delivery services. For eligible Instant Delivery orders purchased through Delivery OS, Jaranova supplies and invoices the delivery service to the merchant at Jaranova’s published or agreed merchant rate. Jaranova remains the merchant’s contractual delivery-service provider; engaging an independent courier does not by itself make Jaranova only an introduction platform.

Deliveries may be fulfilled by independent third-party providers, including Uber, DoorDash, Shipday’s delivery network, independent contractors and other authorized courier partners. Jaranova coordinates delivery requests and related platform services. Independent couriers perform transportation activities under their applicable obligations. Jaranova does not represent that it physically performs every delivery.

Fulfillment is subject to provider availability, service restrictions, verified coverage and operational conditions. The Instant Delivery platform maximum is 20 km. Shipday-supported providers have a separate limit of approximately 16.09 km; longer eligible deliveries require another verified delivery option or remain held.

These standard merchant delivery provisions apply to new orders accepted under this version. Existing negotiated merchant agreements and rates continue to govern their agreed services; this publication does not rewrite historical invoices or existing custom pricing.

3. Merchant responsibilities

Merchants are responsible for accurate order information, lawful goods, proper packaging, customer communications, applicable taxes and fees, and compliance with laws governing their products and services. Merchants must not use Jaranova to dispatch prohibited or unsafe items.

4. Driver responsibilities

Drivers must maintain required licensing, insurance and vehicle eligibility; operate safely; protect customer information; follow delivery instructions; and submit truthful proof of delivery. Additional Driver Terms apply to applicants and approved drivers.

5. Fees, billing and payouts

PAYG has no monthly platform subscription and standard delivery is CAD $15 for the first 5 km plus CAD $1.10 per additional kilometre, including fractional kilometres. Merchants with a verified active Starter, Growth or Pro subscription receive standard delivery pricing of CAD $13 for the first 5 km plus CAD $1.10 per additional kilometre. Monthly software plans are CAD $49, $99 and $199 respectively, before applicable taxes. Software order allowances are not free courier trips. Negotiated custom merchant rates remain governed by the applicable agreement.

Delivery fees are Jaranova’s published or agreed merchant charges, with applicable taxes displayed separately. Jaranova’s third-party fulfillment expense is internal and is not added again to the merchant’s delivery quote. Applicable GST/HST on Jaranova’s separate delivery-service charge is determined by the delivery destination and applicable rules. The merchant remains responsible for its goods and taxes on the sale of those goods.

A verified current credit card and billing authorization are required before a billable delivery. The merchant must review and confirm the final delivery charge and applicable tax. Payment must succeed before courier fulfillment is initiated, unless a separately approved and implemented credit arrangement expressly applies. Weekly merchant credit is not offered through standard PAYG.

If order, address, route or service details change, a fresh quote and consent may be required. A delivery remains held when eligibility, payment, tax or provider cost cannot be verified. Cancellation after courier acceptance may incur costs under the applicable provider and merchant terms; cancellation is not a promise of a refund. Jaranova handles delivery billing and refund requests subject to the applicable agreement and law. No additional merchant cancellation charge is authorized merely by an internal supplier-cost adjustment.

Subscription billing, driver earnings and payout timing remain governed by the applicable account plan, delivery configuration or written agreement. Third-party payment processors may impose additional terms.

6. Acceptable use

You may not misuse the services, interfere with systems, access another user’s data without authorization, submit fraudulent deliveries or documents, scrape protected data, reverse engineer protected service components, distribute malware, or use Jaranova for unlawful, dangerous or abusive conduct.

7. Privacy and customer information

Use of personal information is governed by our Privacy Policy. Merchants and drivers must access customer information only to the extent needed for legitimate delivery operations and must not retain or reuse it for unrelated purposes.

8. Intellectual property

Jaranova and its software, branding, interfaces, documentation and related materials are owned by JaraNova Technology Inc. or its licensors. These Terms grant only the limited right to use the services as intended.

9. Service availability

We work to keep the services available but do not guarantee uninterrupted operation. Mapping, communications, payment, fulfillment and other third-party systems may affect availability. We may modify, suspend or discontinue features when reasonably necessary for security, maintenance, compliance or product development.

10. Suspension and termination

We may restrict or terminate access for material breaches, fraud, safety risks, non-payment, misuse, legal requirements or conduct that threatens users or the platform. Users may stop using the service at any time, subject to outstanding obligations and record-retention requirements.

11. Disclaimers and liability

To the maximum extent permitted by applicable law, the services are provided on an "as available" basis. Responsibilities for delivery services remain subject to the applicable agreement and law; engaging a third-party courier does not itself exclude Jaranova’s obligations as the contractual delivery-service provider. Nothing in these Terms excludes liability that cannot lawfully be excluded.

12. Governing law

These Terms are governed by the laws applicable in Ontario, Canada, without limiting mandatory rights that apply in another jurisdiction.
