Jaranova Terms of Service

These Terms govern access to and use of Jaranova Delivery OS, Jaranova websites, merchant portals, driver services and delivery tracking tools. By using the services, you agree to these Terms and applicable policies.
1. Eligibility and accounts
You must provide accurate information, keep credentials secure and use the services only for lawful business or delivery purposes. We may require identity, merchant, driver, vehicle or payment verification before enabling certain features.
2. Delivery services
Jaranova provides software and operational tools for delivery management, including order intake, routing, dispatch, tracking, proof of delivery and integrations with merchants and fulfillment providers. Availability, pricing, estimated times and service areas may vary by merchant, route, provider and location.
3. Merchant responsibilities
Merchants are responsible for accurate order information, lawful goods, proper packaging, customer communications, applicable taxes and fees, and compliance with laws governing their products and services. Merchants must not use Jaranova to dispatch prohibited or unsafe items.
4. Driver responsibilities
Drivers must maintain required licensing, insurance and vehicle eligibility; operate safely; protect customer information; follow delivery instructions; and submit truthful proof of delivery. Additional Driver Terms apply to applicants and approved drivers.
5. Fees, billing and payouts
Fees, merchant billing, driver earnings and payout timing are governed by the applicable account plan, delivery configuration or written agreement. Third-party payment processors may impose additional terms. Estimates may change when order, distance, route or service details change.
6. Acceptable use
You may not misuse the services, interfere with systems, access another user's data without authorization, submit fraudulent deliveries or documents, scrape protected data, reverse engineer protected service components, distribute malware, or use Jaranova for unlawful, dangerous or abusive conduct.
7. Privacy and customer information
Use of personal information is governed by our Privacy Policy. Merchants and drivers must access customer information only to the extent needed for legitimate delivery operations and must not retain or reuse it for unrelated purposes.
8. Intellectual property
Jaranova and its software, branding, interfaces, documentation and related materials are owned by JaraNova Technology Inc. or its licensors. These Terms grant only the limited right to use the services as intended.
9. Service availability
We work to keep the services available but do not guarantee uninterrupted operation. Mapping, communications, payment, fulfillment and other third-party systems may affect availability. We may modify, suspend or discontinue features when reasonably necessary for security, maintenance, compliance or product development.
10. Suspension and termination
We may restrict or terminate access for material breaches, fraud, safety risks, non-payment, misuse, legal requirements or conduct that threatens users or the platform. Users may stop using the service at any time, subject to outstanding obligations and record-retention requirements.
11. Disclaimers and liability
To the maximum extent permitted by applicable law, the services are provided on an "as available" basis. Jaranova is not responsible for losses caused solely by third-party networks, mapping errors, merchant-supplied information, unsafe driver conduct or events outside reasonable control. Nothing in these Terms excludes liability that cannot lawfully be excluded.
12. Governing law
These Terms are governed by the laws applicable in Ontario, Canada, without limiting mandatory rights that apply in another jurisdiction.
